D3 REI, LLC Master Independent Contractor and Asset Protection Agreement


This Master Independent Contractor and Asset Protection Agreement is entered into as of the server recorded signing date by and between D3 REI, LLC, the Company, and the contractor identified in this onboarding submission. The contractor may sign individually or through the entity identified in the submission. The onboarding answers, W9 information, disclosures, acknowledgments, typed signature, drawn signature, timestamp, IP log, user agent log, generated document hashes, and stored PDFs are part of the agreement record.

1. Definitions

Authorized Duties means acquisition support, seller coordination, investor coordination, transaction support, data entry, consulting, marketing support, and related services specifically authorized by the Company in writing.

Company Leads means all sellers, owners, buyers, investors, referral sources, appointments, CRM records, pipeline entries, prospects, properties, transaction opportunities, contacts, deal notes, communications, relationships, or opportunities generated by, paid for by, stored within, assigned by, referred through, associated with, or otherwise made available to Contractor through the Company's marketing, goodwill, personnel, operations, databases, vendors, referral sources, acquisition activity, investor relationships, or Company Systems. Company Leads exclude only relationships, opportunities, properties, accounts, business activity, or transactions disclosed by Contractor before receiving Company access or working the applicable opportunity.

Company Systems means CRM systems, dialers, automation systems, AI workflows, prompts, scripts, SMS systems, email systems, calendars, data rooms, spreadsheets, SOPs, forms, templates, training systems, call recordings, transaction trackers, lead databases, investor databases, communication channels, marketing assets, operational methods, playbooks, phone numbers, accounts, logins, and other systems, tools, data, and methodologies used, licensed, developed, maintained, or provided by or for the Company.

Confidential Information means all non public business, financial, operational, technical, relationship, transaction, marketing, pricing, seller, investor, buyer, vendor, pipeline, systems, training, AI, automation, prompt, script, SOP, method, lead, list, data, document, communication, and strategy information relating to the Company. It includes Company Leads, Company Systems, pricing methodologies, offer methodologies, AI prompts, transaction data, settlement information, assignment fee information, investor lists, seller lists, scripts, training materials, workflows, and business methods.

Net Assignment Fees means gross assignment revenue or other transaction revenue actually and irrevocably received by the Company from a Commissionable Transaction, less transaction fees, title fees, closing costs, referral fees, co wholesale or joint venture fees, legal fees, concessions, refunds, chargebacks, dispute costs, seller or buyer credits, third party costs, and other transaction related expenses reasonably incurred or allocated by the Company.

2. Engagement and independent contractor status

The Company engages Contractor to provide the Authorized Duties for the Acquisitions Closer role. Contractor is an independent contractor and not an employee, partner, joint venturer, franchisee, legal representative, broker, agent, or fiduciary of the Company. Contractor controls the manner, means, sequence, schedule, tools, and methods used to perform Authorized Duties. The Company may coordinate business objectives, transaction priorities, compliance requirements, brand standards, data security requirements, lead ownership rules, and lawful deal protocols. Contractor is not entitled to wages, salary, overtime, paid time off, vacation, sick leave, health insurance, retirement benefits, unemployment insurance, workers compensation, tax withholding, employee benefits, or employee programs. The Company does not guarantee minimum leads, appointments, transactions, hours, work volume, revenue, commissions, income, territory, continued access, or continued engagement.

3. Services, coordination, confidential systems, and process protection

Contractor may perform only Authorized Duties approved in writing. Contractor may accept Company assigned appointments, leads, or transaction opportunities. The Company may choose whether, when, and how to provide access to Company Leads, Company Systems, and transaction files. D3's confidential systems and processes include CRM workflows, follow-up sequences, scripts, AI prompts, automations, call methods, seller intake methods, investor communication methods, offer logic, pricing review workflows, SOPs, training materials, templates, dashboards, scorecards, transaction checklists, and pipeline management methods. Contractor may use those systems and processes only for authorized D3 work and may not copy, export, repurpose, train others on, sell, publish, disclose, adapt for outside business, or use them to compete with or circumvent the Company. Contractor will maintain commercially reasonable and accurate records in Company Systems for Company Leads and Company transactions.

4. Compliance, licensing, and ethical conduct

Compensation under this Agreement is for acquisition support, transaction consulting, lead coordination, data, and related services. It is not compensation for licensed brokerage services, legal services, tax services, lending services, title services, appraisal services, or other regulated professional services unless Contractor is duly licensed and specifically authorized in writing. Contractor is responsible for complying with applicable federal, state, and local laws and regulations, including real estate, marketing, texting, calling, email, consumer protection, privacy, fair housing, anti discrimination, licensing, data security, and unfair or deceptive practice laws. Contractor will not make false, misleading, unauthorized, or deceptive statements.

5. Confidential information, data, and security

Contractor may use Confidential Information solely to perform Authorized Duties for the Company. Contractor will not disclose, sell, license, export, scrape, download, copy, transfer, publish, reverse engineer, retain, or permit access to Confidential Information except as expressly authorized for Company purposes. Contractor will protect Company credentials, use reasonable device and account security, not share logins, not bypass access controls, and promptly report lost devices, compromised credentials, unauthorized access, suspected breaches, and data incidents. Upon request or termination, Contractor will return Company property and permanently delete or return Company Leads, Confidential Information, Company data, copies, exports, downloaded files, notes, recordings, and derivative materials except where retention is legally required.

6. Company property, systems access, and records

Company Leads, Company Systems, Company records, transaction files, communications, CRM entries, data, scripts, prompts, workflows, SOPs, templates, investor lists, seller lists, marketing materials, phone numbers, email accounts, and related materials are Company property. Access to Company Systems is limited, conditional, non transferable, and revocable at any time. The Company may suspend, limit, monitor, or terminate access immediately to protect Company assets, data, systems, relationships, or transactions. Contractor has no right to retain Company materials after access ends. The Company may maintain and review access logs, CRM histories, communications, exports, downloads, and usage records.

7. Work product and intellectual property

Contractor assigns to the Company all right, title, and interest in Work Product created, modified, or contributed to for the Company or using Company Leads, Company Systems, or Confidential Information. Contractor retains ownership of materials, relationships, tools, and knowledge developed independently before the engagement or outside the use of Company assets, provided those items are disclosed where applicable and are not Company Leads, Company Systems, or Confidential Information. If Contractor incorporates preexisting materials into Work Product, Contractor grants the Company a perpetual, irrevocable, worldwide, royalty free license to use, modify, reproduce, sublicense, and exploit those materials as part of the Work Product.

8. Restrictive covenants and asset protection

The Parties agree these covenants protect legitimate business interests, including Confidential Information, Company Leads, Company Systems, Company goodwill, customer and investor relationships, pipeline opportunities, Work Product, and transaction economics. Nothing restricts Contractor from using general industry skills, general real estate knowledge, publicly available information, or relationships and opportunities disclosed before access, so long as Contractor does not use, exploit, disclose, divert, or circumvent Company protected assets. During the engagement, Contractor will not use Company Leads, Company Systems, Confidential Information, time sensitive transaction information, or Company goodwill for outside business, divert opportunities, conduct undisclosed competing activity involving Company assets, side wholesale, assign, novate, acquire, refer, monetize, or consult on a Company Lead outside the Company, or use Company Systems for outside business. For eighteen months after termination or last authorized access, Contractor will not solicit, divert, induce, interfere with, service, monetize, or transact with Restricted Parties for a competing transaction where Contractor had material contact through the Company or obtained Confidential Information. For eighteen months after termination, Contractor will not participate in a Competing Business where the activity foreseeably requires or is materially aided by Company assets. For thirty six months after termination or last authorized access, Contractor will not bypass, circumvent, exploit, monetize, acquire, assign, novate, wholesale, refer, consult on, finance, broker, close, or participate in any transaction involving an actual Company Lead, Company pipeline opportunity, or substantially related transaction learned of through the Company.

9. Compensation and commissions

Contractor may be eligible for commissions only as set forth in the displayed commission schedule or written deal authorization. Commissions are calculated on monthly Net Assignment Fees, meaning gross assignment fees actually and irrevocably received by the Company minus deal expenses and transaction-related costs. The commission schedule is graduated by monthly Net Assignment Fee buckets. The first $49,999 of monthly Net Assignment Fees is paid at 8%. The portion from $50,000 through $74,999 is paid at 10%. The portion from $75,000 through $100,000 is paid at 12%. Any monthly Net Assignment Fees above $100,000 are paid at 15%. Each bucket fills in order, and only the excess amount moves into the next higher bucket. A commission is earned only when the transaction successfully closes, funds are irrevocably received and cleared by the Company, the transaction is commissionable, eligibility is documented, Contractor is not in material breach, and no clawback, offset, dispute, or reversal applies. Example: if Contractor is credited with $200,000 of monthly Net Assignment Fees, the estimated commission is approximately $4,000 on the first $50,000 at 8%, $2,500 on the next $25,000 at 10%, $3,000 on the next $25,000 at 12%, and $15,000 on the remaining $100,000 at 15%, for a total estimated commission of $24,500. Commissions are service compensation only and do not create revenue share, profit share, joint venture, partnership, ownership interest, equity right, or entitlement to Company revenues. The Company may offset, withhold, recover, or claw back commissions or amounts in cases of fraud, misrepresentation, material breach, unauthorized activity, data misuse, circumvention, canceled transactions, refunded or disputed fees, chargebacks, legal claims, overpayments, unpaid obligations, or transaction reversals. Unless otherwise agreed in writing, Contractor is responsible for business expenses.

10. Term, termination, and suspension

This Agreement begins on the server recorded signing date and continues until terminated. Either Party may terminate the independent contractor engagement at any time, with or without cause, upon written notice. The Company may immediately suspend or revoke Company Systems access, stop assigning Company Leads, pause payment review, or remove Contractor from transaction communications if reasonably necessary to protect Company assets, data, systems, relationships, compliance posture, or transactions. Termination does not remove surviving obligations.

11. Pending deals and post termination compensation

For a Company transaction pending as of termination, Contractor is eligible for a commission only if the transaction closes within sixty days after termination, the Company irrevocably receives funds, Contractor was not terminated for cause, Contractor materially contributed under written records, Contractor cooperates in good faith with handoff and closing, and Contractor is not in material breach. No commission is owed for leads, appointments, contracts, prospects, offers, negotiations, or transactions that do not fully close and fund within applicable requirements. The Company may reassign any Company Lead, transaction, appointment, file, or relationship after termination or access suspension without creating additional compensation rights except as expressly stated.

12. Audit, accounting, constructive trust, and disgorgement

Upon reasonable suspicion of stolen leads, diverted deals, misuse of Company Systems, breach of restrictive covenants, or undisclosed overlapping transactions, the Company may demand a written accounting and reasonable supporting records regarding Contractor's real estate transactions and related consideration involving potentially overlapping Company Leads, Restricted Parties, or pipeline opportunities. Contractor may request a reasonable accounting of Net Assignment Fees for a transaction for which Contractor has a good faith compensation dispute. Any profits, fees, equity, assignments, referral fees, consulting fees, commissions, consideration, or benefits received through unauthorized use, diversion, exploitation, or circumvention of Company assets are deemed Company property subject to accounting, disgorgement, constructive trust, equitable lien, and other available remedies. Contractor will preserve relevant records after notice of a dispute, audit request, or suspected breach.

13. Representations and indemnification

Contractor represents that Contractor has authority to enter this Agreement, is not subject to conflicting obligations, will not bring unauthorized third party confidential information into Company Systems, will comply with applicable law, will maintain required licenses, registrations, and insurance, and will perform services in a commercially reasonable and ethical manner. Contractor will indemnify, defend, and hold harmless the Company and its members, managers, affiliates, employees, contractors, agents, and representatives from claims, losses, liabilities, damages, penalties, fines, costs, and attorneys' fees arising from Contractor's unauthorized acts, breach, misrepresentation, fraud, willful misconduct, negligence, legal violation, licensing violation, data misuse, confidentiality breach, circumvention, or unauthorized representations.

14. Remedies and enforcement

Contractor acknowledges that breach of confidentiality, Company property, systems access, Work Product, restrictive covenant, audit, accounting, or asset protection obligations may cause irreparable harm not fully compensable by money damages. The Company may seek temporary, preliminary, and permanent injunctive relief, specific performance, accounting, disgorgement, constructive trust, and other equitable relief in addition to legal remedies. Restrictive periods are tolled during breach and during periods necessary to obtain effective equitable relief to the maximum extent permitted by law. If a restriction is found overbroad, invalid, or unenforceable, the Parties authorize the court to modify, narrow, reform, or blue pencil the restriction to the maximum enforceable scope. Remedies are cumulative.

15. Miscellaneous

This Agreement is governed by New Jersey law without regard to conflict of law rules. The Parties consent to exclusive jurisdiction and venue in state and federal courts located in New Jersey for disputes arising from this Agreement unless a court with mandatory jurisdiction requires otherwise. Each Party knowingly, voluntarily, irrevocably, and unconditionally waives the right to trial by jury in any action, claim, or proceeding arising out of or relating to this Agreement, the engagement, compensation, Company Leads, Company Systems, Confidential Information, or any transaction. This Agreement, including the applicant's submitted disclosures and acknowledgments, is the complete agreement regarding the subject matter and supersedes prior or contemporaneous oral or written agreements. It may be modified only by a written document signed by both Parties. If any provision is invalid or unenforceable, the remaining provisions remain in effect. Contractor may not assign this Agreement without the Company's written consent. Notices may be provided by email, e signature platform, certified mail, courier, or other written method. Electronic signatures, counterparts, timestamped acceptance records, IP logs, generated document hashes, and scanned signatures are valid and binding. Sections concerning confidentiality, Company property, Work Product, restrictive covenants, compensation offsets, pending deals, audit, accounting, remedies, governing law, venue, jury waiver, integration, and provisions that by nature should survive will survive termination.

Exhibit A. Contractor information, primary market, and what is available through the role

Contractor legal name, contractor entity if any, signing capacity, W9 identity, business address, email, phone, primary state or market, start date, and signature are supplied through this onboarding submission. The role may provide access to D3 training, coaching, role play, scripts, process resources, CRM workflows, Company-generated opportunities when available, team collaboration, transaction coordination support, optional team events, recognition opportunities, culture-building activities, and uncapped commission potential tied to eligible closed and funded Net Assignment Fees. These benefits and resources are not wages, employee benefits, guaranteed leads, guaranteed closings, guaranteed assignments, guaranteed income, territory exclusivity, or a promise of continued access.

Exhibit B. Commission schedule

Commissions are calculated on monthly Net Assignment Fees only. Net Assignment Fees means gross assignment fees actually received by D3 minus deal expenses and transaction-related costs. Commissions are paid following successful closing and D3's receipt of funds, and remain subject to offset, clawback, pending deal, and breach provisions. The schedule is graduated: the first $49,999 of monthly Net Assignment Fees is paid at 8%; the portion from $50,000 through $74,999 is paid at 10%; the portion from $75,000 through $100,000 is paid at 12%; and any amount above $100,000 is paid at 15%. Each bucket fills in order, so only the excess amount moves up to the next bucket. Example using $200,000 in monthly Net Assignment Fees: approximately $4,000 is paid on the first $50,000 at 8%; $2,500 is paid on the next $25,000 at 10%; $3,000 is paid on the next $25,000 at 12%; and $15,000 is paid on the remaining $100,000 at 15%. Total estimated commission: $24,500. Compensation is for acquisition support and consulting services only and is not brokerage compensation, legal compensation, referral compensation requiring licensure, or compensation for regulated professional services unless expressly authorized and legally permitted.

Exhibit C. Mandatory disclosures: preexisting relationships and outside real estate activities

This exhibit must be completed before execution. A blank disclosure is not acceptable. Preexisting relationships means any seller, property owner, buyer, investor, private lender, agent, broker, referral source, vendor, transaction partner, company, property address, lead source, active negotiation, signed contract, pending deal, project, marketing channel, or real estate opportunity that Contractor already owns, controls, works, represents, communicates with, or expects to pursue independently before receiving Company access. Outside real estate activities means any real estate acquisitions, wholesaling, assignments, novations, flips, buy-and-hold activity, agent or brokerage activity, lead generation, investor sourcing, disposition work, consulting, marketing, partnerships, paid referrals, entity ownership, or side projects outside D3, whether active, paused, planned, or done through another person or entity. If Contractor has nothing to disclose, Contractor must write NONE and provide initials. Contractor certifies the disclosures are complete and accurate as of signing. Contractor understands undisclosed relationships, properties, opportunities, activities, or transactions may be treated as Company Leads or Company protected assets if they overlap with, are generated by, are assigned by, are stored in, are associated with, or are worked through the Company.

Exhibit D. Company systems and access

Contractor is authorized to access only Company Systems provided by D3, solely for Company purposes and subject to immediate suspension or revocation. Contractor agrees not to share credentials, export data, scrape records, copy lists, retain files, use systems for outside business, or bypass security controls. Contractor will immediately report suspected unauthorized access, lost devices, compromised credentials, and data incidents.

Exhibit E. State and market compliance

New Jersey law and venue apply as stated above. Contractor remains responsible for complying with applicable state and market requirements, including New Jersey, Pennsylvania, Delaware, or other markets where authorized work occurs. No optional addendum changes the Agreement unless completed and signed by both Parties.
